Welcome to IntelliSport Analytics. These Terms of Service ("Terms") govern your access to and use of our website, survey platform, and consulting services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

In these Terms, "we," "us," and "our" refer to IntelliSport Analytics. "You" refers to individuals or entities accessing our Services.

IntelliSport Analytics provides:

• Consulting services: Organizational change consulting, leadership and culture assessments, high-performance reviews, and stakeholder research for sports organizations.
• Survey platform: A digital platform for administering surveys to athletes, coaches, staff, and stakeholders on behalf of client organizations.
• Website and content: Informational resources, blog articles, and marketing materials related to sports analytics and organizational development.

Certain features of our Services require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

When using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any unlawful, fraudulent, or malicious purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services

For survey respondents: When you participate in a survey administered through our platform, you acknowledge that:

• Your responses will be shared with the client organization that commissioned the survey
• Responses are typically aggregated or anonymized to protect your identity
• You should provide honest and accurate responses to the best of your ability
• Participation is voluntary unless otherwise specified by your organization

For client organizations: Use of our survey platform is governed by separate client agreements. Client organizations are responsible for ensuring appropriate consent and communication with survey respondents.

Our content: All content on our website and platform—including text, graphics, logos, images, software, and methodologies—is owned by IntelliSport Analytics or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our written permission.

User content: You retain ownership of content you submit through our Services, such as survey responses or blog contributions. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content as necessary to provide our Services.

Feedback: If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use that feedback without restriction or compensation.

Our consulting services are provided under separate client engagement agreements that specify scope, deliverables, fees, and other terms. In the event of any conflict between these Terms and a signed client agreement, the client agreement shall prevail.

Our consulting services provide analysis, recommendations, and strategic guidance. Implementation of recommendations is the responsibility of the client organization. We do not guarantee specific outcomes or results from our consulting engagements.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Services will meet your specific requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• Any information obtained through the Services will be accurate or reliable
• Any defects in the Services will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLISPORT ANALYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless IntelliSport Analytics and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Services

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and any associated data, subject to our data retention policies and legal obligations
• Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification

You may terminate your account at any time by contacting us. For consulting engagements, termination is governed by the applicable client agreement.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

For significant changes, we may also notify you by email or through a notice on our website.

• Entire Agreement: These Terms constitute the entire agreement between you and IntelliSport Analytics regarding the Services, superseding any prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
